Company registration in Bulgaria

EOOD, OOD or AD?

An EOOD has a single owner and a statutory minimum capital of BGN 2. An OOD needs at least two shareholders, same capital minimum. An AD (joint-stock company) requires BGN 50,000 and suits larger ventures. We advise on the form before you file — the wrong choice is expensive to unwind.

Seven steps

  1. Name check in the Commercial Register.
  2. Define the scope of activity.
  3. Draft the articles (or partnership agreement) and statutory declarations.
  4. Pay in the share capital and obtain the bank certificate.
  5. File application A4/A5 with the Registry Agency (online with a qualified e-signature, or at the counter in Burgas).
  6. Receive the UIC (unique identification code), usually within 3–5 working days on the standard procedure.
  7. VAT registration if the turnover threshold is reached or if you opt in voluntarily.

State fees and our fees

Registry Agency state fees for EOOD/OOD (as published by the Agency): standard electronic filing BGN 55; expedited electronic filing BGN 110. Paper filings cost twice that. Our professional fee for preparing the file and submitting it is quoted after a short review — we do not copy competitor price lists.

Registration by a foreign national

EU and third-country nationals may incorporate in Bulgaria. Foreign documents must be legalised or apostilled. We can file under a notarised power of attorney if you cannot attend in person.

FAQ

Can I register a company without a lawyer?

The Registry Agency will accept a correct file from anyone. Incorrect articles are refused and the state fee is lost. We file so that the first submission is the last.

How fast can a company be registered?
